Digital Spice - Website Development, Graphic Design, Digital Marketing, Support & Hosting

By placing an order with Digital Spice, you confirm that you are in agreement with and bound by the terms and conditions below.

Digital Spice is committed to making sure our clients get the most out of our services and offers exceptional value.

When you engage Digital Spice you are agreeing to our terms and conditions including our invoice terms and therefore agreeing to pay all invoices on time.

All of Digital Spice’s invoices for all our services including website design and development and digital marketing services have strict 7 day payment terms unless otherwise agreed prior to commencement or stated on the invoice.

Digital Spice will regularly follow up on all clients with overdue invoices via email requesting a prompt payment.

If there are special circumstances we may agree to extend the due date for an additional 14 days, however this will need to be requested and approved in writing.

If the invoice is still outstanding we will email or call the client and ask for an explanation and ask for a date when the invoice will be paid.

If the invoice is not paid by this date one or more of the following may occur:

  • freezing any current work

  • moving to an up-front payment model for future projects

  • referring the debt to an agency

  • reducing the amount of concurrent projects

  • taking the website down and / or

  • discontinuing all future work for the client.

The same may be considered for clients who continually fail to pay their invoices on time.

If we refer outstanding invoices onto our collection provider the client will be liable for the invoice as well as the collection fees.

Payment of Accounts

Quotes provided by Digital Spice are valid for a period of 60 days from the date issued, unless otherwise stated in our quote.

Any additional features requested outside of the quoted project scope will need to be negotiated.

Payment terms for all invoices is 7 days from invoice issue date, unless otherwise agreed before commencement.

Payments including deposits are not refundable.

If the client decides to terminate the contract after a project has commenced, the client will be liable to pay for all work done up to the point of termination.

All invoices from Digital Spice will be sent via email via our accounting software Quickbooks or emailed from us directly.

3 month bug fix warranty for our website packages

For your peace of mind, we offer a 3 month bug fix warranty on our dynamic website packages.

It is the client’s responsibility to review the website and ensure they are happy with it before agreeing to the finalisation of the project. This is usually confirmed when the website is made live.

We understand however that during the pressure of a project, occasionally some things may get missed. In this case, where bugs or technical errors are found after the project has gone live; such bugs will be fixed free of charge within 3 months of the website being made live.

This warranty may be void if changes have been made to functionality or additional plugins have been added etc after hand over that have not been implemented by Digital Spice.

Any modifications that we don’t define as a bug for the purposes of the warranty will be quoted for separately.

Any concerns that fall outside the 3 month period of any nature may be quoted for separately.

Invoice Policy

Payment terms for all invoices is strictly 7 days from invoice issue date, unless otherwise agreed before commencement. All payments including deposits are not refundable.

Web development projects will be invoiced as follows unless otherwise stated:

  • A 50% deposit is required before commencement – this is defined as the date at which you inform us via email or phone that you agree to the terms of the proposal and you wish to go ahead. The project will not begin until this deposit invoice is paid in full. Once deposit payment has been made we will schedule in the commencement of the project.

  • The remaining 50% is to be paid in full at delivery. This is defined as the date you ask us to make the website live or we hand over the management of the site to you.

For larger projects a mid-way progress payment may also be required as part of the terms of agreement.

If the client decides to terminate the contract/project after a project has commenced, the client will be liable to pay for all work done up to the point of termination.

Website maintenance and security releases

It is the website owners (the client) responsibility to ensure their website is kept up to date and secure after hand over.

For websites such as those built with WordPress, we strongly suggest that the website receives regular maintenance including software and plugin updates to keep the website secure, up to date and forwards compatible.

Plugins and add-ons are utilised on most website builds dependent on the functionality required. Some plugins/software may require new versions/licenses to be purchased or an on-going subscription depending on the software providers licensing agreement to use their software.

Any initial plugin licenses required for a website build are generally included in the cost at time of quoting and may not have been specified. 

Many plugins have a limited license for a period of time such as 6 or 12 months access for updates and support. It is the client’s responsibility to purchase and maintain any on-going licenses if required. Please note, if you host with Digital Spice we cover the cost of a number of plugins (but not all) under our agency licenses whilst you are hosted with us, providing exceptional value. See further down this page for more detail.

For smaller brochure-style websites, clients may opt to maintain their website themselves with plugin/software if they feel confident to do so. Some plugins can be auto-updated, but this is best only set for small basic websites.

For larger dynamic websites including eCommerce websites, please ensure maintenance is performed by someone who knows what they are doing.

It is always recommended a full site and database backup of the website is made before implementing any new extensions to the site and before undertaking any updates/upgrades.

To make website maintenance easy – Digital Spice offer website support plans for clients who would prefer Digital Spice perform updates for them. Details of our website support plans are here.

Digital Spice is not responsible for the maintenance of websites unless the client has opted for regular support with us. Please note any support or maintenance under our support plans is done on a per request basis only, unless support is contracted under a scheduled maintenance plan.

If you host with us and your website becomes compromised we will require that you upgrade the website and plugins to keep the site secure as well as removing any malicious files. We can do this for you at our hourly rate, should the need arise.  It is much better to prevent this from occurring by keeping the website well maintained and using secure admin and email account passwords.

Digital Spice take no responsibility for loss of data or damage.

Website Hosting

By placing an order for any of our hosting services, you confirm that you are in agreement with and bound by the terms and conditions below.

  1. Digital Spice provides quality Australian-based hosting services or may recommend alternative hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service. Digital Spice cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

  2. Digital Spice performs daily automated backups of their servers, however no responsibility is taken for the integrity of this backup. For peace of mind, Digital Spice recommends customers also take regular backups of their websites, either through cPanel or through software added to their website. Feel free to contact Digital Spice for instructions on how to do this.

  3. Digital Spice reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the hosting service should the necessity arise.

  4. Hosting is payable annually and is non-refundable.

We take care to ensure any of your personal data is kept secure, however Digital Spice cannot accept liability for any breached data from any software services used by our business such as for accounting purposes, email services or other communication services. We provide exceptional hosting value for clients who have their website developed by us -

For website clients of Digital Spice where we have designed and developed the website build and the client has opted to host with us, we cover the annual license costs of a number of professional plugins that may have been used in the website build -  including (but not limited to) Elementor Pro, Elementor Addons, Pionet Pafe Forms, Breakdance Builder, WP Rocket, Rankmath Pro - these plugins are covered by our Digital Spice agency licenses whilst you are hosted with us - at no additional charge to you.  If a client later changes hosting provider, they will be responsible to purchase their own licenses for these plugins if required.

 

Changes to the Terms and Conditions

Digital Spice reserves the right to change or alter these terms and conditions at any time without notice.
